Terms of Service — X-RAY by IQEA

These Terms govern your use of X-RAY, a Snowflake Native Application provided by Iqea Technologies Inc. ("Iqea", "we", "us"), a Texas corporation.

By installing or using X-RAY, you ("you", "Customer") agree to these Terms. If you are accepting on behalf of an organisation, you represent that you are authorised to bind it.

1. What X-RAY is

X-RAY reads metadata about your Snowflake account's query and warehouse activity and presents it as a performance report, together with a Workload Optimization Analysis that estimates potential cost savings. It runs entirely inside your Snowflake account.

Iqea collects no data through X-RAY. The application makes no external network calls; everything it reads and everything it produces stays inside your Snowflake account, and Iqea never receives your query history, your table data, or your account metadata. See the Privacy Policy for the full statement, including the narrow items Snowflake itself makes available to listing providers.

2. Licence

Subject to these Terms, Iqea grants you a limited, non-exclusive, non-transferable, revocable licence to install and use X-RAY within your own Snowflake account, for your internal business purposes, for as long as your listing access remains in effect.

3. Restrictions

You may not:

• copy, modify, translate, or create derivative works of X-RAY;
• reverse engineer, decompile, or disassemble it, or attempt to derive its source code, except to the extent that restriction is unenforceable under applicable law;
• redistribute, sublicense, resell, rent, or make it available to any third party, or use it to provide services to third parties;
• remove or obscure any proprietary notices; or
• use it in violation of applicable law or of your agreement with Snowflake.

4. Fees and your Snowflake costs

X-RAY is provided free of charge. Any commercial arrangement with Iqea is separate from these Terms and is agreed offline.

You remain responsible for your own Snowflake consumption. X-RAY does not run anything on a schedule and consumes no compute while idle. However, each time you run a refresh — via the Refresh Now control or by calling REFRESH_ALL() — the resulting queries execute on your warehouse and are billed to your account by Snowflake at your contracted rates. Iqea does not control, receive, or reimburse those charges.

5. The savings estimate is an estimate

This section is important, and we ask you to read it.

The Workload Optimization Analysis produces directional estimates derived from your own usage metadata using a model with stated assumptions. It is not a quote, a forecast, a warranty of results, or a promise of savings. Actual outcomes depend on workload characteristics, configuration, contract terms, and factors outside the model's inputs.

You acknowledge that:

• the model applies assumptions and heuristics that may not fit your environment, and which you may change using the provided controls;
• the estimate may be negative, indicating the modelled approach would not pay for itself at your current spend;
• Snowflake's ACCOUNT_USAGE views carry ingestion latency and may be incomplete for recent activity; and
• the output is intended to inform a conversation, not to be relied upon as the sole basis for a financial, architectural, or procurement decision.

6. Your responsibilities

You are responsible for the privileges you grant, for the roles you allow to access the application, and for compliance with your internal policies and any laws applicable to the metadata X-RAY processes within your account.

7. Intellectual property

X-RAY, including its source code, models, methodology, and documentation, remains the exclusive property of Iqea and its licensors. These Terms grant no rights except the licence in Section 2. Feedback you choose to send us may be used without restriction or obligation.

8. Third-party platform

X-RAY runs on Snowflake and depends on it. Your use of Snowflake is governed by your own agreement with Snowflake, to which Iqea is not a party. Iqea is not responsible for Snowflake's availability, performance, pricing, or data handling.

If you obtained X-RAY through the Snowflake Marketplace, the terms you accepted there govern the Marketplace transaction itself; these Terms supplement them and govern your use of the application. In the event of a conflict concerning the Marketplace transaction, the Marketplace terms control.

9. Disclaimer of warranties

X-RAY IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND. To the maximum extent permitted by law, Iqea disclaims all warranties, express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranties arising from course of dealing or usage of trade. Iqea does not warrant that X-RAY will be uninterrupted, error-free, or that its outputs will be accurate or complete.

10. Limitation of liability

To the maximum extent permitted by law:

• Iqea will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, arising out of or relating to X-RAY, however caused and on any theory of liability, even if advised of the possibility.
• Iqea's total aggregate liability arising out of or relating to X-RAY or these Terms will not exceed one hundred United States dollars (US$100).

You acknowledge that X-RAY is provided free of charge and that these limitations are a fundamental basis of the bargain between us. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

11. Indemnity

You will indemnify and hold Iqea harmless from any claim arising out of your use of X-RAY in breach of these Terms or in violation of applicable law.

12. Term and termination

These Terms apply for as long as X-RAY is installed. You may terminate at any time by uninstalling it, which removes the application and all data it created. Iqea may terminate or suspend access, or discontinue X-RAY, at any time, for any reason, without liability. Sections 3, 5, 7, 9, 10, 11, and 13 survive termination.

13. Governing law and venue

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Texas.

14. Changes

Iqea may modify these Terms. Material changes will be reflected in the "Last updated" date above. Continued use after a change constitutes acceptance. If you do not agree, uninstall the application.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Iqea regarding X-RAY, and supersede prior understandings on that subject. If any provision is held unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent.
